These Terms & Conditions ("Terms") govern your access to and use of ailabsolutions.ai and the products and services provided by AILAB Solutions, LLC ("AILAB Solutions", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. About Us

AILAB Solutions, LLC is a limited liability company organized under the laws of the State of Delaware, United States, with a registered office at 131 Continental Dr, Suite 305, Newark, DE 19713. We provide a platform that helps businesses launch AI-powered websites, WhatsApp AI assistants, automation, hosting, admin dashboards, and related e-commerce and program services (the "Services").

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that any information you provide is accurate and complete.

3. Accounts and Registration

Some features require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. Services and Subscriptions

We may offer one-time purchases, subscriptions, and recurring services. Features, availability, and pricing may change over time. For subscription services, your subscription renews automatically for successive periods unless cancelled before the renewal date, in accordance with the plan terms presented at checkout.

5. Orders, Pricing, and Payment

• All prices are shown in the currency indicated at checkout and may exclude applicable taxes and fees.
• We reserve the right to correct pricing errors and to refuse or cancel orders, including suspected fraudulent or unauthorized transactions.
• Payments are processed by third-party payment processors (such as Stripe, PayPal, and PayFast). By submitting payment, you authorize us and our processors to charge the applicable amounts.
• You are responsible for providing accurate billing information.

6. Refunds and Cancellations

Unless otherwise stated for a specific product or required by applicable law, fees are non-refundable once the corresponding service has been provisioned or delivered. For digital, hosting, and AI-generation services, delivery is generally considered to occur upon provisioning. Refund or cancellation terms specific to a product will be presented at the point of purchase.

7. Acceptable Use

You agree not to use the Services to:

• violate any applicable law or regulation, or infringe the rights of others;
• upload or distribute unlawful, harmful, fraudulent, defamatory, or infringing content;
• send spam, conduct phishing, or distribute malware;
• attempt to gain unauthorized access to, disrupt, or overload the Services or related systems;
• reverse engineer, resell, or misuse the Services except as expressly permitted;
• use AI features to generate content that is illegal, harmful, deceptive, or that violates the policies of integrated platforms (such as WhatsApp/Meta).

8. User Content

You retain ownership of content you submit ("User Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, process, and use User Content solely to provide and improve the Services. You are responsible for your User Content and represent that you have the necessary rights to it. We may remove content that violates these Terms.

9. Intellectual Property

The Services, including software, designs, text, graphics, and trademarks (excluding User Content), are owned by or licensed to AILAB Solutions and are protected by intellectual property laws. Except for the rights expressly granted to you, no rights are transferred. You may not copy, modify, or create derivative works of the Services without our prior written consent.

10. Third-Party Services

The Services may rely on or integrate with third-party platforms (such as payment processors, hosting providers, and WhatsApp/Meta). Your use of those services is subject to their terms, and we are not responsible for their acts or omissions.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI-generated outputs will be accurate or suitable for your purposes.

12. Limitation of Liability

To the maximum extent permitted by law, AILAB Solutions and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to us for the Services in the three (3) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless AILAB Solutions and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.

14. Suspension and Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we reasonably believe it is necessary to protect the Services or other users. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination will survive.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, subject to any mandatory consumer-protection rights you may have in your country of residence.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
